Democratic Oversight & Public Trust

Institutional Governance & Statutory Leadership

Association ELSE is administered under non-profit democratic principles established by the French Law of July 1, 1901. Our collegiate leadership upholds absolute fiscal transparency, ethical stewardship, and public accountability.

Democratic Organization and Ethical Compliance

Statutory Reinvestment & Disinterested Governance

"All membership fees and dues are fully reinvested in the association's public interest missions." The executive officers of Association ELSE serve in a strictly non-remunerated capacity in compliance with French tax and non-profit codes, ensuring total independence and disinterested administration.

Collegiate Leadership Principles and Sovereign Assemblies

The organizational life of Association ELSE is anchored in the democratic sovereignty of our General Assembly (Assemblée Générale). Composed of all registered active members, cultural practitioners, and civic supporters in good standing, the General Assembly convenes annually in Tours to evaluate administrative reports, vote on budget allocations, examine independent financial audits, and elect the Board of Directors (Conseil d'Administration).

Every member retains equal voting rights regardless of the tenure of their involvement or the magnitude of their volunteer participation. This democratic parity guarantees that our artistic direction remains faithful to our community mission and impervious to private economic influence. Major organizational decisions—including multi-year artistic residency themes, municipal partnership conventions, and ethical guidelines—are submitted to collegiate deliberation and majority consensus.

The Board of Directors is entrusted with the ongoing strategic stewardship of Association ELSE. The board elects an Executive Bureau responsible for day-to-day administrative execution, institutional representation before public authorities, and financial management:

Ethics Charter and Conflict of Interest Prevention

To maintain the highest level of institutional integrity, all members of the Board of Directors and administrative staff must subscribe to the Association ELSE Ethics Charter. Key governance safeguards include:

  • Strict Conflict-of-Interest Recusal: Any board member with a direct or indirect professional, commercial, or familial relationship to an external vendor, facility provider, or grant recipient must formally declare this interest and recuse themselves from deliberations and voting on the matter.
  • Prohibition of Personal Enrichment: No member, board officer, or volunteer may derive private financial benefit, preferential commercial terms, or property transfers from the association's assets or activities.
  • Equal Opportunity & Cultural Inclusivity: The association enforces strict non-discrimination policies across all casting, educational enrollments, residency selections, and volunteer assignments, regardless of gender, age, ethnic origin, disability, or social background.
  • Environmental Responsibility: The procurement of all stagecraft goods, travel arrangements, and event catering must prioritize local, certified ecological suppliers within the Indre-et-Loire department.

Regulatory Compliance and Prefectural Oversight

Association ELSE complies fully with all statutory obligations mandated by French administrative regulations governing public interest non-profits. The association’s initial declaration was filed with the Prefecture of Indre-et-Loire and published in the Journal Officiel des Associations (JOAFE). All subsequent modifications to the Board of Directors, registered statutes, or physical seat address (13 Rue Galpin Thiou, 37000 Tours) are systematically deposited within the mandatory three-month window into the National Directory of Associations (Répertoire National des Associations - RNA W451001757) and updated with the National Institute of Statistics and Economic Studies (INSEE SIREN 497663294).
